Purchase and Sale Terms and Conditions

These Purchase and Sale Terms and Conditions (these “Purchase Terms”) apply to any order you place through or on www.naturium.mom or through or on our Naturium mobile application (if any). For purposes of these Purchase Terms, www.naturium.mom and our mobile application are referred to as our “online store”.
By placing an order on our online store, you agree to these Purchase Terms, along with our Terms of Use (“Terms of Use”) and Shipping & Returns information. Please read these before you place your order.
Please note that we may update or modify these Purchase Terms from time to time, so remember to check back in before you place an order, as the latest version will apply.
WHO YOU ARE BUYING FROM
When you purchase products on our online store, you are purchasing them from Naturium LLC (“we”).
For some international orders, one of our service providers may act as the seller of record. This means you are purchasing directly from that provider, not us. If this applies, we will let you know. In those instances, the purchase and sale terms of that provider will control and/or supplement these Purchase Terms.

ORDERS
Adding items to your cart and checking out does not mean we’ve accepted your order. We will email you an order confirmation (with an order number) as soon as possible to acknowledge that we have received and are processing your order. If you need to contact us about your order, please provide us with your order number so we can more quickly find your order.
We accept your order when we ship your products and send you a shipping confirmation email. Until your order ships, we may decline or cancel any portion of your order for any reason, including:
- a product is out of stock;
- there is a pricing or description error;
- we are unable to meet a delivery deadline;
- there are unexpected limits on our resources which we could not reasonably plan for; or
- legal or regulatory issues prevent fulfillment.
If we are unable to accept all or a portion of your order, we will inform you and will not charge you for the unaccepted portion of the order. If you have already paid by the time we cancel an order, we will issue you a refund.
Please note that once an order has been placed, it cannot be canceled or modified (including the shipping address). Please be sure to check your order before it is placed to make sure it is completely accurate, including your shipping address.
PRICE, TAXES, AND PAYMENT
Pricing and Currency
The price of any product will be the price indicated on the order page of our online store. Please note that changing the country of delivery may affect the price due to a change in currency or to country-specific pricing.
Our online store may allow you to see prices in the currency for your country of delivery. If our online store has that feature, if you change the country of delivery while browsing or during checkout, prices from that moment may be quoted in a different currency.
Taxes and Duties
Taxes and duties are calculated at checkout and depend on where your order ships. We charge sales tax on all orders shipping to the United States (except for orders shipping to states that do not have a sales tax).

Pricing Errors
We take reasonable care to ensure that the price of the product advised to you is correct. It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We use reasonable efforts to check prices before accepting your order. If we discover a pricing error before we ship your order:
- If the correct price is lower, we’ll charge the lower price.
- If the correct price is higher, we’ll contact you before we accept your order and charge you the higher price.
- If a pricing mistake is obvious, we may cancel your order, refund you, and require you to return the applicable products.
Payment
Payment options vary by country. See the available payment methods when you check out.
We retain title in any product you have ordered until we have received full payment for the product, meaning we own the product. Once we receive full payment, title transfers to you and you own the product.
SHIPPING AND RISK OF LOSS
Shipping costs will be calculated at checkout and depend on where your order ships. Delivery times will depend on the delivery address. Please visit Shipping & Returns page for more details on our shipping fees and estimated delivery time frames.
The items purchased from our online store are shipped by a third-party shipping carrier. When you place an order, you agree that we will arrange the shipment of your order for you using the delivery service or carrier you selected at checkout.
Once your order is handed to the carrier, responsibility for the package passes to you. This means we’re not responsible for lost or stolen packages after shipment, and delivery issues should be addressed directly with the carrier.
If delivery is delayed by an event outside our control, then we will contact you as soon as possible to let you know, and we will take reasonable steps to minimize the effect of the delay. We will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to cancel your order and receive a refund for any products you have paid for but have not yet received.
RETURNS AND EXCHANGES
Returns and exchanges are subject to eligibility requirements and time limits. Please review our Shipping & Returns page before placing your order.
AVAILIABILITY OF PRODUCTS/DESCRIPTION AND IMAGES OF PRODUCTS
All products on our online store are subject to availability. We reserve the right to change the products offered via our online store at any time and without notice. Our online store may contain information about the availability of products at the time of ordering, but the quantity of inventory that is actually available can change and without notice. We are not liable if products are not in stock or otherwise not available.
The images of the products on our online store are for illustrative purposes only. Although we make the effort to display the colors accurately, we cannot guarantee that a device's display of the colors accurately reflects the color of the products. Your product may vary slightly from those images. The packaging of the product may also vary from that shown on images on our online store.

Promotions
Promotions are subject to limits and may not always be available. In general:
- promotions only available/valid while supplies last or during certain periods;
- promotions are not valid for bulk orders or for gift card purchases;
- only one code may be used per order;
- free or discounted shipping and handling offers may only be valid for orders within certain countries;
- codes cannot be sold, made available to the general public (unless we expressly allow it), transferred, or exchanged for cash; and
- promotions and codes may only be used in a lawful manner and may only be used for the intended audience and purpose.

PERSONAL USE ONLY
Our products (including any samples we may provide to you) are for personal use only. Buying products on our online store to resell is not allowed. If we believe an order is intended for resale or suspect that you are engaging in reseller activity, we may cancel or limit your orders or withhold refunds.
ADDITIONAL INFORMATION ABOUT INTERNATIONAL ORDERS
We've partnered with Passport Global, Inc. together with its subsidiaries, affiliates, and / or nominated agents (“Passport”) to facilitate the sale and delivery of orders to select international markets.
At checkout, Passport calculates the duties and taxes based on the product you ordered and your destination country’s specific rates and regulations. These fees are added to your total order cost, along with applicable shipping charges. Paying these costs upfront means you won’t be prompted for additional charges or experience delays when your order arrives in your country.

United Kingdom Consumers
If you are a consumer resident in the United Kingdom, the provisions in this section apply to you and prevail to the extent of any inconsistency with the rest of these Purchase Terms or in the Terms of Use. In particular (1) any reference in the Terms of Use to arbitration agreements or class action waivers does not apply to you; and (2) nothing in these Purchase Terms or the Terms of Use affects your right to bring proceedings in the courts of the United Kingdom or your statutory rights.
Seller of Record
Passport is the seller of record for all orders of products placed by you that are fulfilled from United States inventory and imported as low-value consignments into the United Kingdom. In facilitating such sales, Passport will be acting in its own name and will be regarded as making the sale of products to you (for the purposes of section 47(1) of UK VAT Act 1994). By placing an order to the United Kingdom, you agree to Passport’s terms of service for the United Kingdom, available at passportglobal.com/uk-agent-tos.
Your Rights to Cancel Your Order
You have the legal right to cancel your order (or part of it) within 14 days without giving any reason. The cancellation period will expire 14 calendar days after:
- the day on which you (or a third party nominated by you, other than the carrier) receive the products; or
- if your order consists of multiple products delivered on different days, the day on which you (or your nominated recipient) receive the last product.
You do not have the right to cancel in respect of products that are sealed for health protection or hygiene purposes once those products have been unsealed after delivery.
To exercise your right to cancel, you must inform us of your decision by email sent to info@naturium.mom. Please include your name and address, order number, details of the products, and your email address.
If you cancel after products have been dispatched or delivered, you must send the products back to us no later than 14 days from the day on which you notify us of cancellation. Products should be returned securely, preferably in the original packaging where possible. We recommend using a tracked and insured delivery service, as you are responsible for the products until we receive them. We will provide you with the return address, which may be located in the United States. Further details about returns are available on our Shipping & Returns page. This does not affect your statutory rights in relation to faulty or misdescribed products.
You are responsible for the direct cost of returning the products unless:
- the products are faulty or not as described; or
-
you are cancelling because we have informed you of:
- an upcoming change to a product in your order or these Purchase Terms;
- an error in pricing or description;
- a delivery delay caused by events outside our control; or
- any other issue that gives you a legal right to cancel due to our breach.
We will refund all payments received from you for the cancelled products, including the cost of standard delivery. However, if you selected a delivery method more expensive than our least costly standard option, we will only refund the cost of standard delivery.
If you cancel because you changed your mind, we may reduce your refund (excluding delivery costs) to reflect any reduction in the value of the products caused by handling beyond what is necessary to establish their nature, characteristics, and functioning (for example, handling beyond what would reasonably be permitted in a shop).
If we issue a refund before inspecting the returned products and later determine that such handling has occurred, you must reimburse us for the loss in value. Refunds will be made using the same payment method you used for the original transaction, unless you expressly agree otherwise. We will process your refund as soon as possible and, in any event, no later than (i) 14 days after the day we receive the returned products; or (ii) if earlier, 14 days after the day you provide evidence that you have sent the products back to us.
Consumer Protection Laws
Nothing in these Purchase Terms limits or excludes your statutory rights under applicable UK consumer protection laws, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
Governing Law
You will benefit from any mandatory provisions of UK law, and you may bring proceedings in the courts of the part of the United Kingdom in which you reside. We are not obliged to and do not commit to using an alternative dispute resolution provider. If we cannot resolve a dispute with you directly, you may nonetheless be entitled to pursue ADR. Details of ADR providers can be found at https://www.gov.uk/consumer-problems.
Canadian Consumers
The place of supply of the products you purchase on our online store is the United States, meaning we will hand your order to the applicable carrier or shipping agent in the United States and risk of loss will transfer to you in the United States.
Order shipped by the United States Postal Service
Products will be shipped through the United States Postal Service and ultimately through Canada Post. Products may be shipped through the te United States Postal Service’s ePacket service, in which case applicable duties and taxes will be collected by us or our shipping agent and paid to the Canada Border Services Agency on your behalf if assessed by the Canada Border Services Agency at the time of importation, or through the regular United States Postal Service shipping service, in which case you are responsible for paying the applicable duties and taxes at the time you receive your products. In either case, you are ultimately responsible for paying all applicable duties and taxes on the products.
Orders shipped by carriers other than the United States Postal Service
By placing an order, you authorize the customs broker selected by us or our shipping agent to act as your agent to transact business with the Canada Border Services Agency to clear your order, pay duties and taxes, and to handle any returns and refund claims on your behalf. On checkout, we calculate and collect the estimated applicable taxes and duties that the broker will pay on your behalf to the Canada Border Services Agency.
MISCELLANEOUS
These Purchase Terms are hereby incorporated into the Terms of Use, including the Arbitration Agreement and Class Action Waiver set forth in the Terms of Use.
To the extent any capitalized terms are used in these Purchase Terms but not defined, they have the meanings in the Terms of Use. In the event of any conflict between these Purchase Terms and the Terms of Use, the Terms of Use shall control.
If a court, arbitrator, or other authority finds that any part of these Purchase Terms is unlawful, the rest will still apply. Each section of these Purchase Terms stands on its own, so removing one part does not affect the others.
